1. Agreement to these Terms
These Terms of Use (“Terms”) are a binding agreement between you and Amaran LLC, doing business as DmBot (“DmBot,” “we,” “us,” or “our”). By creating an account, connecting an Instagram account, purchasing a subscription, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you use DmBot for an organization, you represent that you have authority to bind it.
2. Eligibility
You must be at least 18 years old and legally able to enter a contract. You may not use DmBot if applicable law prohibits you from receiving the Service or if we previously suspended you for material misuse.
3. The Service
DmBot provides tools that help eligible Instagram Professional accounts configure comment-to-DM, DM-keyword, link-delivery, lead-capture, tagging, analytics, and related automation workflows. Features depend on your plan, approved Meta permissions, account eligibility, geographic availability, third-party platform functionality, and technical limits.
DmBot’s follow gate is designed as a user-confirmed step. Unless and until an official and approved capability reliably verifies follower status, DmBot does not promise automatic follower verification.
4. Accounts and security
- Provide accurate registration and billing information and keep it current.
- Protect login credentials, devices, API access, and workspace invitations.
- Use reasonable role and permission settings for team members.
- Notify us promptly at support@dmbot.co if you suspect unauthorized access.
- You are responsible for activity conducted through your account unless caused by DmBot’s breach of these Terms.
5. Instagram, Meta, and other third-party services
DmBot is an independent service and is not endorsed by or affiliated with Meta Platforms, Inc. Instagram and related marks belong to their owners. Your use of Instagram, Meta APIs, Stripe, and other integrations is also governed by the third party’s terms and policies.
Third parties may change APIs, permissions, review standards, messaging windows, rate limits, account eligibility, or platform rules at any time. Those changes may modify, delay, suspend, or eliminate DmBot functionality. We do not guarantee that Meta will approve an account, permission, app review, message, or campaign.
6. Customer responsibilities
You control your automations, content, audiences, offers, and use of collected lead information. You must:
- Use DmBot only for lawful, transparent, and expected communications.
- Comply with Meta and Instagram policies, privacy and marketing laws, anti-spam rules, consumer-protection laws, and industry obligations that apply to you.
- Provide legally required notices and obtain consent before collecting or using contact details or sending marketing communications.
- Honor opt-outs, suppression requests, deletion requests, and account-disconnection requests.
- Review automation content before publishing and monitor campaigns for errors or unexpected behavior.
- Maintain an independent record of any information you are legally required to preserve.
7. Acceptable use
You may not use DmBot to:
- Send spam, unsolicited bulk messages, harassment, threats, deceptive promotions, or content that violates a recipient’s rights.
- Impersonate another person or business, conceal sponsorships, or make false claims.
- Collect passwords, authentication codes, government identifiers, payment-card data, or highly sensitive information unless DmBot expressly supports that collection and you have a lawful basis.
- Promote illegal goods or services or violate applicable advertising restrictions.
- Scrape, probe, reverse engineer, bypass quotas, interfere with security, or access data or workspaces without authorization.
- Upload malware, exploit code, or content that infringes intellectual-property, privacy, publicity, or other rights.
- Use the Service in a way likely to harm DmBot, Meta, Instagram users, or the integrity of a third-party platform.
8. Plans, usage limits, and pricing
Free
The Free plan currently includes one Instagram account, five active automations, up to 1,000 automated DMs per month, up to 1,000 contacts, and DmBot branding. Re-trigger, Follow Gate, lead generation, and story automation are not included in the Free plan.
Pro
Pro is currently offered at $14.99 per month or $119.88 per year ($9.99 per month billed annually). Pro currently includes one Instagram account, unlimited workflows subject to fair-use and technical controls, up to 10,000 automated DMs per month, unlimited contacts subject to reasonable technical limits, Re-trigger, user-confirmed Follow Gate, lead generation, story reply automation, advanced analytics, removal of DmBot branding, and priority support.
Enterprise
Enterprise may include multiple accounts, team members, agency workspaces, negotiated limits, custom integrations, onboarding, and support under a written order form. The order form controls if it conflicts with these Terms.
We may change future pricing or plan features with prospective notice. We will not retroactively change a completed billing period.
9. Billing, automatic renewal, taxes, and cancellation
Paid subscriptions are billed in advance and automatically renew for the selected monthly or annual period until canceled. You authorize our payment processor to charge the payment method on file, including applicable taxes. Prices are in U.S. dollars unless stated otherwise.
You may cancel before renewal through the account’s billing settings or by contacting billing@dmbot.co. Cancellation stops future renewal and ordinarily takes effect at the end of the paid period. Fees are governed by our Refund Policy and applicable law.
10. Customer Data
“Customer Data” means content, contacts, messages, workflow settings, lead information, and other data submitted to or processed through your workspace. As between you and DmBot, you retain your rights in Customer Data. You grant DmBot a limited, worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Data only as needed to provide, secure, support, and improve the Service, comply with law, and enforce these Terms.
You represent that you have the rights, notices, permissions, and lawful basis needed for DmBot to process Customer Data on your instructions.
11. DmBot intellectual property
DmBot and its licensors own the Service, software, designs, workflows, documentation, trademarks, and related intellectual property, excluding Customer Data. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service during your subscription for internal business or creator activities. No source-code, resale, sublicensing, or ownership right is granted.
12. Feedback
If you provide suggestions or feedback, you grant DmBot a perpetual, irrevocable, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you without permission.
13. Privacy and data processing
Our Privacy Policy explains how we handle personal information. Where DmBot processes Customer Data on your behalf as a processor or service provider, the parties may enter a separate data processing addendum when legally required or included in an Enterprise agreement.
14. Availability, beta features, and changes
The Service may be unavailable during maintenance, incidents, provider outages, or third-party platform changes. Beta or preview features may be incomplete, changed, or discontinued and are provided for evaluation. We may improve, modify, or discontinue features, but will provide reasonable notice when a material change substantially reduces core paid functionality where practicable.
15. Suspension and termination
You may stop using DmBot at any time and may request account deletion. We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay, exceed limits after notice, or cause a platform or provider to require suspension. Where appropriate, we will provide notice and an opportunity to cure.
Upon termination, your right to use the Service ends. Provisions intended by their nature to survive—including payment obligations, ownership, disclaimers, limits of liability, indemnity, and dispute terms—will survive.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” DMBOT DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, PARTICULAR CAMPAIGN RESULTS, MESSAGE DELIVERY, PLATFORM APPROVAL, LEAD QUALITY, REVENUE, OR FOLLOWER GROWTH.
Some jurisdictions do not permit certain warranty exclusions, so parts of this section may not apply to you.
17. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DMBOT AND ITS AFFILIATES, MEMBERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DMBOT’S TOTAL LIABILITY ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DMBOT DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US $100. THIS LIMIT DOES NOT APPLY WHERE LIABILITY CANNOT LEGALLY BE LIMITED.
18. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless DmBot and its affiliates, members, employees, and suppliers from third-party claims, damages, penalties, and reasonable costs arising from your Customer Data, campaigns, violation of law or platform rules, infringement of rights, or material breach of these Terms. DmBot will provide reasonable notice and cooperation, and you may not settle a claim in a way that admits fault by or imposes obligations on DmBot without written consent.
19. Governing law and venue
These Terms are governed by Delaware law, without regard to conflict-of-law rules. Subject to any mandatory consumer rights that apply to you, exclusive jurisdiction and venue will lie in the state or federal courts located in Delaware, and each party consents to those courts.
20. General terms
Neither party is liable for delay caused by events beyond reasonable control. You may not assign these Terms without our consent; we may assign them in connection with a merger, reorganization, financing, or sale. These Terms, the Privacy Policy, Refund Policy, and any applicable order form are the complete agreement about the Service. If one provision is unenforceable, the remainder stays effective. A failure to enforce a provision is not a waiver. Electronic notices and signatures are valid.
21. Changes to these Terms
We may update these Terms prospectively. We will post the revised Terms and update the effective date. If a change materially affects paid users, we will provide reasonable notice. Continuing to use DmBot after the effective date means you accept the revised Terms, except where law requires a different form of consent.
